These Terms and Conditions constitute a binding legal agreement between you and FlowTime Academy regarding your enrollment in our courses and use of our services. By enrolling in any course, purchasing any service, or accessing our educational materials, you agree to comply with and be bound by these terms.
Please read these terms carefully before proceeding. If you do not agree to these terms, you should not use our services.
1. Legal Agreement and Binding Nature
By accessing our website or enrolling in our courses, you enter into a legally binding contract with FlowTime Academy. This agreement governs your relationship with us and supersedes any prior agreements or understandings, whether written or oral.
You affirm that you are of legal age to enter into this agreement and have the legal capacity to agree to these terms. If you are enrolling on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
2. User Obligations and Responsibilities

You agree to:

When participating in our courses and community, you must:
- • Treat instructors, staff, and fellow participants with respect and professionalism
- • Refrain from harassment, discrimination, or abusive behavior of any kind
- • Avoid disrupting classes or interfering with others' learning experiences
- • Maintain a collaborative and constructive learning environment
- • Protect the privacy and confidentiality of other participants
2.3 Content and Information Accuracy
You are responsible for ensuring that all information you provide to us is accurate, current, and complete. You must promptly update any information that changes. Providing false or misleading information may result in immediate termination of your access to our services without refund.
2.4 Prohibited Activities
You explicitly agree not to:

- ✗ Share login credentials or course access with unauthorized individuals
- ✗ Reverse engineer, decompile, or disassemble any software or technology we provide

4. Disclaimers and Warranties
4.1 Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, FlowTime Academy disclaims all warranties, including but not limited to:
- • Implied warranties of merchantability or fitness for a particular purpose
- • Warranties regarding accuracy, completeness, or reliability of course content
- • Warranties that our services will be uninterrupted, secure, or error-free
- • Warranties regarding specific results or outcomes from our courses
4.2 Educational Content Disclaimer

While we strive to provide high-quality, evidence-based content, we make no guarantees about specific productivity improvements, career outcomes, or personal results. Individual results will vary based on personal effort, circumstances, and application of learned techniques.

Our courses provide educational content about productivity and time management. This content does not constitute professional advice (legal, medical, psychological, financial, or career counseling). You should consult qualified professionals for specific advice related to your personal or professional situation.
5. Limitation of Liability
5.1 General Limitation
To the maximum extent permitted by applicable law, FlowTime Academy and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- a) Your access to or use of (or inability to access or use) our services
- b) Any conduct or content of any third party using our services
- c) Any content obtained from our services
- d) Unauthorized access, use, or alteration of your data or content
5.2 Maximum Liability Cap
In no event shall FlowTime Academy's total liability to you for all damages, losses, and causes of action exceed the amount you paid to FlowTime Academy in the twelve months preceding the claim, or ¥10,000 (whichever is greater).
5.3 Consequential Damages Exclusion
FlowTime Academy shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of nature, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials (force majeure).
5.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
6. Legal Information and Dispute Resolution
6.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.
6.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these terms or your use of our services shall be brought exclusively in the courts of Tokyo, and you consent to the personal jurisdiction of such courts.
6.3 Dispute Resolution Process
Before initiating any formal legal proceedings, you agree to:
- 1. Contact us in writing describing your concern and desired resolution
- 2. Allow us 30 days to investigate and attempt to resolve the matter
- 3. Participate in good faith negotiations to reach a mutually acceptable solution
If informal resolution is unsuccessful, either party may pursue formal legal remedies.
6.4 Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
6.5 Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and FlowTime Academy regarding your use of our services and supersede all prior agreements and understandings.
6.6 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
7. Terms Modification Policy
We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will update the "Last updated" date at the top of this page and notify you through email or a prominent notice on our website.
Material changes will be communicated at least 30 days before they take effect. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you should discontinue your use of our services.
For participants enrolled in ongoing courses at the time of a terms modification, the previous terms shall continue to apply to that specific enrollment unless the changes are required by law.
